1. Acceptance of Terms

By accessing or using the SignalShot website (the "Site"), the SignalShot mobile application for iOS (the "App"), or any services provided by SignalShot (collectively, the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of the terms and conditions in this agreement, you must not use the Site or App.

These Terms constitute a binding legal agreement between you (the user of the Service) and SignalShot ("SignalShot," "we," "us," or "our"). We reserve the right to update or modify these Terms from time to time; continued use of the Service after any changes signifies your acceptance of the revised Terms.

Mobile App Users: If you download or use our App from an app store, please note that additional terms specific to mobile applications may apply. You acknowledge that, to the extent you access the Service via the App, you must also comply with applicable app store terms and conditions.

2. Description of Service

SignalShot provides a cryptocurrency news aggregation and notification platform that delivers AI-analyzed news with personalized impact ratings and real-time price tracking. Our Service enables users to receive customized news feeds based on their cryptocurrency preferences, track over 100 major cryptocurrencies, and receive push notifications for high-impact news.

Features and functionalities of the Service may be added, changed, or removed by us at our discretion. We will endeavor to inform users of major changes to core features, but we are under no obligation to continue providing any particular feature and shall not be liable for any modification, suspension, or discontinuation of any part of the Service.

3. User Registration and Account Security

Account Registration

To access certain features of SignalShot, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You must be at least 13 years old (or the age of legal majority in your jurisdiction) to register for an account, or if you are registering on behalf of a business or other entity, you represent that you have the authority to bind that entity to these Terms. SignalShot will not be liable for any loss or damage arising from your failure to comply with the above requirements.

Legal Compliance

You represent and warrant that you are not located in a country that is subject to a United States government embargo or designated by the U.S. government as a "terrorist supporting" country, and that you are not listed on any U.S. government list of prohibited or restricted parties.

We reserve the right to investigate and take appropriate legal action against any violations of this section. Failure to adhere to the above acceptable use standards constitutes a material breach of these Terms and may result in suspension or termination of your account.

5. Privacy Policy

Your use of the Service is subject to the SignalShot Privacy Policy, which is hereby incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, store, and disclose personal information from our users. By using the Service, you consent to the collection and use of your information as outlined in the Privacy Policy.

If you do not agree with our Privacy Policy, you must discontinue use of the Service. In the event of a conflict between these Terms and the Privacy Policy regarding the handling of personal data, the Privacy Policy will govern.

6. License Grant and Restrictions

Subject to your compliance with these Terms and any applicable payments, SignalShot hereby grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service. This license allows you to use our website and, if applicable, download and use a copy of our mobile App, solely for your own personal purposes.

You may use the Site and Service for your personal use in accordance with these Terms. You are permitted to view and utilize the content and features of the Service on your device screens. You may not reproduce, distribute, or publicly display any portion of the Service except as explicitly allowed by SignalShot.

You agree not to remove, obscure, or alter any copyright, trademark, or other proprietary rights notices on any content or materials you access through the Service.

Use of the Mobile App

If you obtain the SignalShot App from an app store, SignalShot grants you a limited, non-transferable license to download, install, and use the App on mobile devices that you own or control, and as permitted by the usage rules set forth in applicable app store terms of service.

You may not use the App on any device that you do not own or control, and you may not distribute or make the App available over a network where it could be used by multiple devices at the same time. You must not rent, lease, lend, sell, redistribute, or sublicense the App to anyone.

Except to the extent allowed by law, you may not copy (other than a backup copy), decompile, reverse-engineer, disassemble, modify, or create derivative works of the App or any part of the Service.

7. Intellectual Property Rights

All content, materials, and technology provided as part of the Service are owned by or licensed to SignalShot and are protected by intellectual property laws. This includes, without limitation, the software and source code powering the Service; the design, layout, and user interface of the Site and App; the SignalShot logo, trademarks, and branding; and all text, graphics, images, and other content made available through the Service.

Proprietary Rights

SignalShot (and its licensors, where applicable) retains all rights, title, and interest in and to the Service and all associated content. Your use of the Service does not grant you any ownership or intellectual property rights in our Service or Content, or in the trademarks, logos, and service marks of SignalShot.

You agree not to copy, reproduce, distribute, modify, or create derivative works based on any portion of the Service or content, except as allowed under the License Grant section or with our express prior written permission.

User Feedback

If you choose to provide any suggestions, ideas, enhancement requests, or other feedback to SignalShot regarding the Service ("Feedback"), you acknowledge that such Feedback is not confidential and you grant SignalShot a worldwide, perpetual, irrevocable, sublicensable, royalty-free license to use and incorporate that Feedback into the Service or our business operations without any obligation to you.

8. Third-Party Services and Links

In using our Service, you may encounter or choose to use services, products, software, embeds, or applications developed by third parties that interoperate with or complement our Service. Additionally, our Site or App might include links to third-party websites or resources that are not owned or controlled by SignalShot.

Third-Party Terms

Your use of any third-party services is subject to their separate terms and conditions. It is your responsibility to review and comply with the terms of any third-party services you utilize in connection with SignalShot.

No Endorsement or Control

SignalShot does not endorse and is not responsible for any third-party websites or services that may be referenced or linked in our Service. We do not control these third parties and are not responsible for the content, functionality, accuracy, or opinions expressed in third-party offerings.

To the fullest extent permitted by law, you agree that SignalShot will not be liable for any loss or damage of any kind arising out of or relating to your interactions with any third parties or third-party services.

9. Subscription and Payment Terms

SignalShot may offer both free and paid subscription tiers with different features:

Certain SignalShot services may require payment of subscription fees or other charges. All prices, plans, and payment terms are set forth in the App or on our Site and are subject to change at our discretion, with notice to you as required by law.

By subscribing to or purchasing any paid portion of the Service, you agree to pay the applicable fees and charges, and you authorize us (or our third-party payment processor) to charge your provided payment method for the due amount.

Payment Processing

Payments are processed through third-party payment processors. By entering your payment information or making any payment in connection with the Service, you authorize charges and agree to comply with the payment processor's own terms and conditions. All fees are exclusive of any taxes (such as sales, use, or value-added tax) that may apply. You are responsible for paying any applicable taxes.

Except as expressly provided by our refund policy (if any) or as required by law, all payments are non-refundable. We reserve the right to suspend or terminate your access to paid features of the Service if your account is past due or if any payment is declined or charged back.

Cancellation

You may cancel your subscription at any time through your app store account settings. Cancellation will take effect at the end of the current billing period. Upon cancellation, you will retain access to paid features until the end of your current subscription period.

10. Termination

Termination by SignalShot

We reserve the right to suspend or terminate your account or access to the Service at any time, with or without notice, for any conduct that we, in our sole discretion, believe is disruptive to the Service or is in violation of these Terms or any applicable law.

Without limiting the foregoing, any breach of the User Responsibilities and Acceptable Use or License and Restrictions sections is grounds for immediate suspension or termination of your rights to use the Service and/or App. In the event of termination by us for a violation of these Terms, we may, at our discretion, refuse to provide any refund of prepaid fees (if any).

Termination by You

You may terminate this agreement at any time by canceling your SignalShot account and ceasing all use of the Service. If you wish to delete your account, you should contact us at [email protected] or use any account cancellation functionality provided within the Service. Termination will not relieve you of any obligation to pay any accrued fees or charges due to SignalShot.

Effect of Termination

Upon any termination of this agreement, whether by you or by us, your right to access and use the Service will immediately cease. If your account is terminated or suspended, you agree not to create a new account without our permission.

Upon termination, SignalShot may delete or deactivate your account and all related data, information, and files in your account, without liability to you, except as may be prohibited by law. We advise that you export or download any important data or content before terminating your account, as we may not be able to recover data once an account is deleted.

Certain provisions of these Terms will survive termination. All clauses that by their nature should survive the expiration or termination of this agreement, including but not limited to provisions on intellectual property ownership, disclaimers of warranty, limitation of liability, indemnification, governing law, and dispute resolution, shall remain in effect after termination.

11. Disclaimer of Warranties

USE AT YOUR OWN RISK: The Service (including the Site, the App, and all content, functions, and features made available on or through them) is provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, either express or implied, except as expressly set forth in writing by us.

To the maximum extent permitted under applicable law, SignalShot disclaims all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, and non-infringement.

No Financial or Investment Advice

SIGNALSHOT IS NOT A FINANCIAL ADVISOR. Any information available through the Service (such as news analysis, impact ratings, or price data) is for informational purposes only and should not be interpreted as professional financial, investment, or trading advice.

Cryptocurrency investments carry significant risks, including the potential for complete loss of invested capital. You are solely responsible for conducting your own research and due diligence before making any investment decisions. We make no representations or warranties regarding the accuracy, completeness, or reliability of any information provided through the Service.

Service Availability

We do not guarantee that the Service will meet your requirements or expectations, or that the results obtained from using the Service will be accurate or reliable. We make no warranty that:

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIGNALSHOT, ITS OWNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES WHATSOEVER ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO USE) THE SERVICE.

This includes, without limitation, any damages for lost profits, lost revenue, lost savings or goodwill, loss or corruption of data, business interruption, investment losses, or other intangible losses, even if we have been advised of the possibility of such damages.

SignalShot shall not be liable for any unauthorized access to or use of our servers and/or any personal or financial information stored therein, or for any bugs, viruses, or other harmful code that may be transmitted to or through our Service by a third party.

To the extent that any liability is not legally capable of being excluded and notwithstanding the above, the total cumulative liability of SignalShot and our affiliates to you for all claims arising out of or relating to these Terms or your use of the Service, whether in contract, tort, or otherwise, shall not exceed the greater of: (a) the total amount (if any) you paid to SignalShot for the specific service or subscription in the six (6) months immediately prior to the event giving rise to the liability, or (b) US $100.00.

The limitations of liability and types of damages excluded in this section shall apply regardless of the form of action, whether in contract, tort, negligence, strict liability, or any other theory, even if an informed party has been advised of the possibility of damages.

You agree to defend, indemnify, and hold harmless SignalShot, its parent company, affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, demands, suits, proceedings, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you. In such event, you agree to cooperate with our defense of that claim and you shall not in any event settle any claim without our prior written consent.

14. Governing Law and Dispute Resolution

This agreement and any dispute or claim (whether contractual or non-contractual) arising out of or in connection with it or its subject matter shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles.

Informal Resolution

Before filing a claim, you agree to contact us at [email protected] to attempt to resolve the dispute informally. We will attempt to resolve the dispute within 30 days.

Arbitration Agreement

If we cannot resolve the dispute informally, you and SignalShot agree to resolve disputes through binding arbitration, rather than in court, except for disputes relating to intellectual property rights or small claims court matters.

Class Action Waiver

YOU AND SIGNALSHOT AGREE THAT DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE ACTION.

15. Modifications to Terms

SignalShot reserves the right to modify, update, or replace these Terms of Service at any time. If we make a material change to the Terms, we will provide you with reasonable notice of such change, such as by sending an email to the address associated with your account, or by prominently posting a notice on our Site or within the App.

We may also update the "Last Updated" date at the top of these Terms to indicate when revisions have been made. It is your responsibility to review the Terms periodically for any changes.

Unless we state otherwise, changes to these Terms are effective immediately upon posting. Your continued use of the Service after any changes to the Terms have been posted (or after being notified, if applicable) will constitute your acceptance of those changes. If you do not agree to any amended Terms, you must stop using the Service and, if applicable, cancel your account.

16. General Provisions

Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SignalShot regarding the use of the Service and supersede any prior agreements.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction.

Force Majeure

SignalShot shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet service interruptions.
